1 — Service Scope
OPTBOT provides a proprietary, cloud-based Causal AI software-as-a-service platform (the 'Service'). The Service ingests customer-provided tabular data ('Customer Data') to automatically discover causal relationships and generate interactive Structural Causal Models (SCMs). These models allow authorized users to run simulations, analyze interventions, and explore counterfactual scenarios
2 — Payment Terms
Access to the Service is granted upon purchase of an annual subscription plan. All fees are billed in U.S. dollars and are due thirty (30) days from the invoice date. Each subscription tier includes a specific allowance of 'Causal Models Generated' per year. Usage exceeding this allowance will be invoiced separately at the overage rates specified in the customer's agreement. Fees are non-cancelable and non-refundable. OPTBOT reserves the right to suspend access to the Service for accounts with overdue payments.
3 — Intellectual Property
Customer retains all right, title, and interest in and to the Customer Data. OPTBOT retains all right, title, and interest in and to the Service, including all underlying software, algorithms, AI models, and technology. Subject to the terms of this agreement, OPTBOT grants the customer a limited license to access and use the outputs of the Service, including any generated Structural Causal Models, solely for the customer's internal business operations during their paid subscription term.
4 — Data Protection
Both parties agree to maintain the confidentiality of all non-public information disclosed by the other. OPTBOT is committed to protecting the security of Customer Data and implements robust security measures, including data encryption at rest and in transit. OPTBOT will only process Customer Data in accordance with the customer's instructions and for the purpose of providing the Service. For more details, please see our Privacy Policy.
5 — Term and Termination
This one-year agreement automatically renews annually unless either party provides 60 days' notice of non-renewal. Either party may terminate for a material breach that is not cured within 30 days. Customer's licenses to use the Service are revoked.
6 — Disclaimers & Limitation of Liability
The Service is provided "AS IS" without any warranty, and we do not guarantee specific business outcomes. Our total liability is limited to the fees paid in the 12 months preceding a claim. These terms are governed by the laws of the State of Missouri.
Liability
Services are provided "as is" with no guarantee of specific results. Liability is limited to project fees paid. We operate under State of Missouri law.
